Nomad Foods (NYSE: NOMD) returns to organic growth, but EBITDA still slips

What happened

Nomad Foods Limited (NYSE: NOMD) returned to organic revenue growth in the third quarter, while adjusted EBITDA and adjusted EPS slipped.

Organic revenue rose 1.6% from a year earlier. Volume was stable, down 0.2%, and price-mix added 1.8%. Reported revenue rose 2.3% to €770 million in the quarter ended Sept. 30. Nomad Foods reports in euros. CEO Dominic Brisby called the result an important milestone and said volume was flat for the first time since 2024.

The company also refinanced its dollar term loan into a smaller, longer-dated one. It reiterated its 2026 guidance and 2027 targets, according to the Nov. 4 release and filing.

What the quarter shows

Sales growth did not reach profit. Adjusted EBITDA fell 1.5% to €141 million. The company said higher incentive compensation took a mid-single-digit bite out of it. Adjusted gross margin fell 110 basis points to 27.0%.

Adjusted gross profit fell 1.7% to €208 million. The release says it rose low-single-digits excluding higher incentive compensation and the reversal of timing benefits noted in the second quarter. Adjusted operating expenses were flat at €93 million because productivity savings offset most of the incentive compensation increase.

Reported profit rose 16% to €67 million. Exceptional items were €3.9 million against €16.9 million a year earlier. Adjusted profit, which excludes those items, fell 7%. Adjusted EPS fell 4.1% to €0.47.

The nine-month view is weaker. Revenue fell 2.2% to €2.21 billion, with volume down 3.5% and price-mix up 1.3%. Adjusted EBITDA fell 9.0% to €357 million.

The refinancing

Nomad Foods repaid the USD Term Loan B, which had $679.1 million outstanding and was due in 2029. The new USD term loan is $620.0 million, due 2032, at the SOFR rate plus 2.5%.

OptimistFi's calculation shows the new loan is $59.1 million smaller and matures three years later. The filing lists the dollar loan at €547.2 million alongside an €880.0 million euro term loan repayable in November 2032.

Third-quarter results include €7.6 million of losses on refinancing of debt, which the company excluded from adjusted figures. Nine-month cash flow shows €14.4 million in financing fees paid, against €0.2 million a year earlier.

Why it matters

OptimistFi has argued that the stock works if the company's brands regain margin and cash momentum without giving up volume. This quarter gives mixed evidence. Volume stabilized and cash flow improved, but margins moved the wrong way.

Net cash from operating activities was €195.6 million in the nine months, up 12.3% from €174.2 million a year earlier. Cash stood at €275.6 million on Sept. 30 against €324.8 million at the end of 2025. Share repurchases totaled €23.7 million, down from €151.4 million.

Guidance tempers the good news. Nomad Foods still expects 2026 organic revenue to decline 2%-3% and adjusted EBITDA to decline 5%-10%. That includes up to a mid-single-digit impact from restoring incentive compensation. The nine-month organic decline already sits inside the revenue range.

The company also expects adjusted EPS of €1.38 to €1.53, or $1.55 to $1.71 at the Oct. 28 exchange rate. It expects adjusted free cash flow conversion of 90% or greater.

What's next

The next quarterly report will cover the fourth quarter of 2026. It will show whether volume stays near flat and whether adjusted EBITDA stops falling against the full-year guidance.

A return to volume declines or a further slide in adjusted gross margin would weaken the case. Stable volume with firmer margins would strengthen it.
