Magna (NYSE: MGA) widens margin but sales slip 4%, and a new buyback is planned

What happened

Magna International Inc. (NYSE: MGA) widened its Adjusted EBIT margin to 6.8% in the third quarter while sales fell 4%.

A year earlier the margin was 5.9%. Adjusted EPS rose 38% to $1.83, and the board approved a new share buyback. Adjusted EBIT and Adjusted EPS are non-GAAP measures. Magna says they leave out items that do not reflect ongoing operating profit.

Sales were $10.06 billion, down $403 million from $10.46 billion in the third quarter of 2025. Magna cites lower global light vehicle production, the end of certain programs, the 2026 sales of its Lighting and Rooftop Systems businesses and net customer price concessions. New program launches partly offset those declines.

Where the margin came from

Income from operations before income taxes rose 17% to $552 million. Adjusted EBIT rose 11% to $683 million. Magna points to net favourable commercial items, productivity and efficiency gains, and recoveries for tariffs and lower tariff costs. Higher commodity costs, net transactional foreign exchange losses and lower contribution on lower sales partly offset them.

Body Exteriors Structures did the most. Its Adjusted EBIT rose $82 million to $387 million, and its margin reached 9.3% from 7.4%. Its sales edged up $11 million to $4.16 billion.

Power Vision lifted Adjusted EBIT to $287 million from $236 million. Its margin was 7.6% against 6.1%, on 2% lower sales.

Seating Systems went the other way. Sales fell 18% to $1.25 billion, partly on the timing of a major North American program moving from end of production to its replacement. Adjusted EBIT dropped to $28 million from $62 million. Magna ties that to lower organic sales, higher launch costs and a government research and development incentive that helped the year-earlier quarter.

Reported results carry charges that the adjusted figures leave out. Other expense, net was $79 million, up from $48 million. It included $83 million of restructuring. Of that, $76 million was in Power Vision for plant closures and rightsizing in Europe, and $7 million was in Body Exteriors Structures.

A gain on the settlement of claims tied to Fisker's bankruptcy partly offset those charges. A $4 million impairment loss on the held-for-sale Lighting and Rooftop Systems businesses added to them.

Diluted EPS rose 33% to $1.44 from $1.08. Other expense, net, and amortization of acquired intangible assets cut diluted EPS by $0.39 in the quarter, against $0.25 a year earlier.

Cash, buybacks and liquidity

Cash from operating activities rose 4% to $950 million from $912 million. Magna ties this mainly to higher net income. Changes in operating assets and liabilities contributed $144 million, against $125 million a year earlier.

Magna returned $658 million to shareholders in the quarter. That was $529 million of share repurchases and $129 million of dividends. The buybacks covered 7.9 million shares. Weighted average diluted shares were 266.0 million, down 6% from 281.8 million.

Magna ended September with cash resources of $1.4 billion, including restricted cash equivalents. It had lines of credit totaling $3.7 billion, of which $3.5 billion was available.

On April 22 it extended its $2.7 billion syndicated revolving credit facility from June 25, 2030 to June 25, 2031. It also moved its $800 million 364-day facility from June 24, 2026 to June 24, 2027.

Long-term debt due within one year was $709 million at Sept. 30, up from $27 million at Dec. 31, 2025. Long-term debt fell to $3.92 billion from $4.69 billion. Net interest expense dropped to $35 million from $65 million, though the earlier quarter included interest on a value-added tax reassessment.

Why it matters

OptimistFi has argued that Magna's value depends on turning vehicle content into better cash earnings, not larger low-margin revenue. The quarter passes that test on margin and operating cash flow, since both rose on lower sales.

The test is not settled. Global light vehicle production fell 3%, with North America down 5% and China down 7%. Seating Systems also lost earnings on lower sales.

The filing lists net favourable commercial items and tariff recoveries beside productivity gains as margin drivers. So not all of the improvement comes from cost work. The filing also lists the lower share count among the reasons Adjusted EPS rose, so part of that gain is not earnings growth.

What's next

Magna's board approved a new normal course issuer bid to buy up to 25.8 million common shares, about 10% of its public float. The plan needs Toronto Stock Exchange approval. It is expected to take effect Nov. 9, 2026 and to end no later than Nov. 8, 2027.

Magna's next quarterly report will show whether it keeps buying at the third-quarter pace. Slower buying would temper the per-share lift. Holding margin through softer production would strengthen the case.
