AMASS (NASDAQ: AMSS) cuts Series C floor price and cancels warrant

What happened

AMASS Brands Inc. (NASDAQ: AMSS) said Zachary Ament will resign as chief financial officer effective November 16, 2026. The company said his resignation was not the result of any disagreement with operations, policies or practices.

The board appointed Geoffrey McFarlane as interim CFO effective November 17, 2026, and he will serve as principal financial officer and principal accounting officer. McFarlane has consulted for AMASS since August 2025 and previously served as interim CFO from July 2024 to August 2025.

On October 22, 2026, AMASS filed a Second Amended and Restated Certificate of Designation for Series C Convertible Preferred Stock. The filing cut the minimum floor price from $4.00 to $1.00 per share and removed the prior $0.75 per share market-price threshold. The preferred stock remains authorized for 35,000 shares, each with a stated value of $1,086.96.

AMASS also terminated a warrant with Streeterville Capital, LLC that had been exercisable for up to 3,500,000 shares. No payment is due, and Streeterville Capital, LLC released AMASS from claims under the warrant.

Why it matters

OptimistFi's case is that AMASS is still a financing-and-execution story, and this filing shifts the financing side more than the operating side. The lower floor price makes conversion easier for Series C holders, and OptimistFi's calculation shows a 75.0% cut from $4.00 to $1.00 per share.

The warrant cancellation removes a 3,500,000-share exercise right without cash cost. The preferred stock still carries a 2% quarterly return, limits beneficial ownership to 9.99% and can be redeemed at 115% of liquidation value after six months.

It also keeps trigger events tied to a $100 million average market-cap test and a $3 million stockholder-equity test. Those terms show why capital structure remains the main investor issue.

What's next

Ament's resignation becomes effective on November 16, 2026, and McFarlane's interim appointment follows on November 17, 2026.

A smooth handoff would support the transition, while any break in finance leadership would keep execution risk in view.
