What happened
Wayfair Inc. (NYSE: W) Chief Technology Officer Fiona Tan sold 15,000 Class A shares over two days under a Rule 10b5-1 trading plan. For holders, the sales are a partial reduction of an officer's position held through a family trust. They were 7.6% of the holding Tan had before the trades, by OptimistFi's calculation.
Tan sold 8,000 shares on Nov. 4 at $125.00 and 7,000 shares on Nov. 5 at $122.73, about $1.86 million in total. The Form 4 was signed Nov. 6.
The shares are held through a revocable trust, with Tan as trustee and Tan's immediate family as sole beneficiaries. The first sale cut the reported holding from 196,698 shares to 188,698, and the second took it to 181,698. The Form 4 says the sales ran under a Rule 10b5-1 plan that Tan, as trustee, established on June 1, 2026.

Why it matters
Because the sales ran under that plan, they may reflect a prearranged schedule and not a fresh view of the business. Tan remains a holder through the trust, so the filing shows a partial sale and not an exit.
The Nov. 5 sale price was 1.8% below the Nov. 4 price, by OptimistFi's calculation, a narrow spread between the two days.
OptimistFi has argued that Wayfair turned better unit economics into operating profit and positive operating cash flow. The stock now depends on that recovery lasting while sales growth speeds up. One officer's planned sale does not test either point, so the sale leaves the investment case unchanged.

What's next
Wayfair's next quarterly report is the next test of that case. Continued operating profit and positive operating cash flow, with revenue growth above its recent pace, would support OptimistFi's view. A slip in either would weaken it. Those two lines, not an officer's planned sale, are what will move the case.
