Why it matters

OptimistFi's calculation puts the sale at 16.7% of the 119,792 shares Kornhaber held before the trade. That is a large cut to one executive's direct position.

Kornhaber keeps most of the directly held position, so the sale trimmed it rather than ending it. Part of the reported holding is restricted stock still vesting, which limits how much of the stake is owned outright.

OptimistFi has argued that Esquire's focus on the legal and litigation vertical, plus payment fees and disciplined credit, will deliver faster asset growth, rising fee income and higher cash earnings per share. The sale leaves that case unchanged, because those results show up in the company's reports and not in one executive's trades.

What's next

The next of those vesting schedules to start begins Dec. 19, with the first of three equal annual installments. The next test of the case is Esquire's next quarterly report, where asset growth, payment fee income and cash earnings per share are the figures to check. Faster growth in all three would support OptimistFi's view, and a slowdown in any of them would weaken it.
