Why it matters

OptimistFi’s case is that Travelers turns underwriting scale, disciplined risk selection and a large invested float into steady earnings and cash for shareholders. This Form 4 is mixed for that view because Schnitzer sold 88,900 shares, or about 22.7% of the 392,024 shares shown after the code F entry.

Table I also shows a code M acquisition of 298,368 shares at $132.58, followed by a code F disposition of 209,468 shares at $397.62. The remaining sales were 12,901 shares at $394.7965, 12,369 at $395.5968, 15,759 at $396.6509, 44,879 at $397.6139 and 2,992 at $398.205.

Those sales were reported in weighted average bands from $394.12 to $395.115, $395.12 to $396.09, $396.12 to $397.115 and $397.12 to $398.09. After the option exercise and sales, holdings moved from 601,492.499 shares after the code M entry to 303,124.499 at the end.

The filing also lists 11,091 shares held indirectly by a spouse and says those shares are disclaimed. The same-day option exercise is the main caveat. It makes the sale look like monetization of exercised awards rather than a broader shift in ownership.

The sale leaves the investment case unchanged. It changes the insider’s reported stake, but it does not change the operating thesis investors follow for Travelers.

What's next

The filing is dated 2026-10-23, after the 2026-10-21 trades, and leaves Schnitzer with 303,124 direct shares. That post-trade stake is the baseline investors can compare with later Form 4 reports.

Later Form 4 reports will show whether Schnitzer keeps trimming or holds steady from this level. A stable stake would support the unchanged reading, while more sales would point to further monetization.
