CACI Highlights Strong FY2026, $32B Backlog and ARKA Deal at Annual Meeting

CACI International (NYSE:CACI) highlighted fiscal 2026 financial performance, contract activity and its technology-focused national security strategy at its annual shareholder meeting, where shareholders also elected the company’s full slate of director nominees and approved executive compensation on an advisory basis.

President and CEO John Mengucci said fiscal 2026 was “another outstanding year” for the company, citing free cash flow of $735 million, free-cash-flow-per-share growth of 68%, revenue growth of 11% and an EBITDA margin of 12.3%.

The company also won more than $10 billion in contract awards during the year, producing a book-to-bill ratio of 1.1 times, Mengucci said. CACI ended the period with $32 billion in backlog, which he said represents approximately three years of annual revenue.

Technology-first strategy and ARKA acquisition

Mengucci said CACI’s strategy begins with mission knowledge and a focus on “enduring, well-funded national security priorities.” The company invests ahead of customer demand in differentiated, software-defined technology designed for rapid deployment, he said.

During fiscal 2026, CACI acquired ARKA, adding space-based sensors, optical systems and advanced agentic artificial intelligence capabilities. Mengucci said the acquisition further supports CACI’s technology-first strategy and expands its presence in the space domain.

“We remain flexible and opportunistic in deploying capital to drive long-term growth and free cash flow per share and shareholder value,” Mengucci said, pointing to mergers and acquisitions, share repurchases and debt reduction as potential uses of capital.

He said the company entered fiscal 2027 with substantial backlog, differentiated technology and positions in national security markets, adding that CACI is positioned to continue creating value for customers and shareholders.

Corporate recognition and workforce

Chair Lisa Disbrow said CACI’s stock reached a 52-week high of $683.50 during the past year. She also noted that the company ranked No. 459 on the Fortune 500 and was named one of America’s most admired companies by Fortune. CACI ranked No. 10 on Washington Technology’s list of the top 100 federal prime contractors, she said.

Disbrow said nearly 40% of CACI’s workforce consists of veterans or military spouses. The company was recognized as a top employer for veterans by G.I. Jobs, Military Times and U.S. Veterans Magazine, according to her remarks.

Mengucci said CACI was named a Fortune World’s Most Admired Company for the 15th time in fiscal 2026. He also cited recognition from Forbes, USA Today and other organizations, including 10 distinctions related to career pathways for veterans and military-affiliated workers.

Shareholders approve board slate and other proposals

Shareholders elected all 10 director nominees: Lisa S. Disbrow, Michael Gilday, Susan M. Gordon, David F. Keffer, John S. Mengucci, Scott C. Morrison, Philip O. Nolan, Debora A. Plunkett, Stanton D. Sloane and Charles L. Szews.

Bill Koegel, CACI’s executive vice president, general counsel and secretary, said more than 20 million shares, representing about 91% of outstanding common shares as of the record date, were represented at the meeting.

Shareholders also approved, on a non-binding advisory basis, compensation for the company’s named executive officers. In addition, they ratified the appointment of PricewaterhouseCoopers as CACI’s independent auditor for the fiscal year ending June 30, 2027.

No shareholder questions were submitted through the meeting’s web portal, and the annual meeting was subsequently adjourned.
