
NextEra Energy (NYSE:NEE) shareholders approved two proposals tied to the company’s planned merger transaction with Dominion Energy during a special meeting held Sept. 3, 2026.
John Ketchum, NextEra Energy’s chairman and chief executive officer, presided over the virtual meeting, which was called to order at 9:00 a.m. Eastern time. The company said shareholders considered three items, including approval for the issuance of NextEra Energy common stock to Dominion Energy shareholders under the first merger contemplated by the companies’ May 15, 2026, agreement and plan of merger.
Quorum Confirmed
Charlie Sieving, NextEra Energy’s executive vice president and chief legal officer, said the meeting was held under a notice dated July 28, 2026. Broadridge began mailing the notice and joint proxy statement and prospectus on July 28 to shareholders of record as of July 24, he said.
Sieving reported that NextEra Energy had 2,085,978,209 shares of common stock outstanding and entitled to vote as of the record date. He said holders representing more than a majority of those shares were present in person, through remote communication or by proxy, establishing a quorum.
The board recommended that shareholders vote in favor of all three proposals.
Stock Issuance and Charter Amendment Approved
Following the close of voting, Sieving said the inspector of elections’ preliminary report showed that shareholders approved both the share issuance proposal and the charter amendment proposal.
“The preliminary vote report shows that each of the share issuance proposal and the charter amendment proposal have been approved,” Sieving said, noting that votes in favor of each measure exceeded votes cast against them.
Because the share issuance proposal was approved, preliminary results for the adjournment proposal were not necessary, he said.
The final certified vote count will be filed with the meeting minutes. NextEra Energy also said it expects to report the final voting results in a Form 8-K filing with the Securities and Exchange Commission within four business days of the special meeting.
Ketchum then adjourned the meeting after the formal business was completed.
