
Novanta (NASDAQ:NOVT) held its 2026 Annual Meeting of Shareholders, with investors approving all three proposals presented during the virtual meeting, including the election of directors, an advisory vote on executive compensation and the appointment of the company’s independent auditor.
Matthijs Glastra, Novanta’s chair of the board and chief executive officer, chaired the meeting and introduced members of the board and management team participating in the webcast. Board members present included Lead Independent Director Lonny Carpenter, Matthew Farrell, R. Matt Johnson, Mary Katherine Ladone, Maxine Mauricio, Thomas N. Secor, Dr. Darlene Solomon and Andy Wilson. Robert Buckley, Novanta’s chief financial officer, and Alexander Manganiello, general counsel and corporate secretary, also participated.
Quorum Established
Buckley reported that 33,371,777 of Novanta’s 35,610,633 common shares outstanding as of the April 14, 2026, record date were present in person or represented by proxy. That represented approximately 93.7% of outstanding shares, satisfying the quorum requirement for the meeting.
The company said the meeting materials, including the notice of the meeting, management proxy circular and proxy form, had been distributed to shareholders. Glastra also noted that Novanta’s audited consolidated financial statements for the year ended Dec. 31, 2025, along with Deloitte & Touche LLP’s report, had previously been sent to shareholders and were available on the investor relations section of the company’s website.

Shareholders voted to elect the full slate of board nominees to serve until the 2027 Annual Meeting of Shareholders. The elected directors were:

According to the preliminary report of the scrutineer, each nominee was elected as a director of the company.
Executive Pay and Auditor Approved
Shareholders also approved, on an advisory basis, the compensation of Novanta’s named executive officers. The proposal covered the compensation disclosures included in the company’s management proxy circular, including the compensation discussion and analysis, compensation tables and related narrative discussion.
In the final item of business, shareholders approved the appointment of Deloitte & Touche LLP as Novanta’s independent auditor to serve until the 2027 Annual Meeting of Shareholders.
The meeting was conducted virtually, with voting handled by electronic ballot for shareholders of record and duly appointed proxy holders who had not already voted by proxy, internet or telephone. Alicia Mohammed of Broadridge Financial Solutions, Inc. served as scrutineer for the meeting.
No Shareholder Questions Submitted
After the formal business was completed and the meeting was adjourned, Glastra opened a question-and-answer session for shareholders. No questions were submitted during the session.
