Kodiak Sciences (NASDAQ: KOD) director Baker Bros. buys $24.34 million of stock

What happened

Baker Bros. Advisors LP, a Kodiak Sciences Inc. (NASDAQ: KOD) director and 10% owner, bought 247,090 shares for about $24.34 million. Every purchase was at $98.51 a share on Nov. 4 or Nov. 5, according to the Form 4 signed Nov. 6.

The shares went to two Baker funds that hold the stock directly. On Nov. 4, 667, L.P. bought 8,742 shares and Baker Brothers Life Sciences, L.P. bought 151,916. On Nov. 5 they bought 4,703 and 81,729.

After the purchases, the filing lists 20,424,859 shares for Life Sciences and 1,683,172 for 667. The adviser has complete discretion over the investment and voting power of the shares both funds hold.

Felix J. Baker, a managing member of the adviser's general partner, is a Kodiak director. Because of that board representation, the filing treats the other reporting persons as directors by deputization.

Why it matters

A holder with a board seat and control of the funds' votes added to its Kodiak position at one price over two days. OptimistFi has argued that Kodiak's value depends on whether its drug platform can produce differentiated, financeable medicines before cash burn or competition absorbs the upside. It reads continued buying by a board-linked holder as a modest plus for the financeable half of that view.

Buying slowed on the second day. By OptimistFi's tally of the filing's lines, the funds bought 160,658 shares on Nov. 4 and 86,432 on Nov. 5.

The limits are plain. A purchase is a position decision, not a clinical, operating or financing result. The Bakers and the adviser also disclaim beneficial ownership of the funds' shares beyond their pecuniary interest.

What's next

Kodiak's next quarterly report is the next scheduled test. Its cash and spending figures bear on the cash-burn risk in OptimistFi's view: a slower burn would support the case, while faster spending would weaken it.
