What happened
Vistra Corp. (NYSE: VST) completed its acquisition of Cogentrix Energy on Oct. 30. The deal adds 10 natural gas plants totaling approximately 5,500 MW.
Funds managed by Quantum Capital Group were the seller. The closing followed all required regulatory approvals. With the plants, Vistra's fleet reaches nearly 50,000 MW across the U.S.
Jim Burke, Vistra's president and chief executive officer, called the Cogentrix assets "a strong strategic fit" and said the Vistra team "knows how to successfully integrate generation assets into our fleet."

What Vistra paid
Vistra paid in cash and stock. The cash portion is approximately $2.2 billion, after adjustments for working capital, acquired cash, the assumed debt and certain other items.
The stock portion is 5,000,000 Vistra shares issued to the seller, Q-Generation Holdings, LLC, at an agreed value of $185 per share. The shares were issued without registration, and Vistra must file a shelf registration covering their resale.

Where the assumed debt goes
Vistra plans to repay the debt it took on within days of closing. It assumed approximately $1.7 billion owed by the acquired company and its subsidiaries.
That debt was approximately $800 million under a credit agreement involving Cogentrix Finance HoldCo I, LLC and $900 million under one involving Hamilton Projects Acquiror, LLC. On Nov. 2, Vistra told the lenders it intends to repay both in full.
What the fleet adds
The plants sit in PJM, ISO New England and ERCOT. Vistra's release calls these some of the most attractive and fastest-growing power regions in the country.
In PJM, the Patriot and Hamilton-Liberty combined-cycle plants in Pennsylvania are the largest at 881 MW each. Rock Springs in Maryland follows at 740 MW. The four New England plants range from 271 MW at Rumford, Maine to 624 MW at Newington, New Hampshire. Altura Cogeneration in Texas adds 583 MW in ERCOT.
Vistra now owns 100% of all ten plants, including the 25% interest in Patriot and Hamilton-Liberty that Cogentrix did not previously own.
The release also points to earlier deals. Energy Harbor in March 2024 added approximately 4,000 MW of nuclear generation. Seven natural gas plants from Lotus Infrastructure Partners in October 2025 added more than 2,300 MW.
Why it matters
OptimistFi has argued that Vistra's value comes from owning large dispatchable supply while demand for reliable power rises. The Cogentrix closing adds more of that supply in one step, which strengthens that view.
The same case says the stock only works if scarcity proves more durable than normal power-cycle volatility. A larger fleet makes that bet bigger, not safer.
The deal also has costs. Vistra spent cash and issued new shares, so the share count rises and capital is tied up. Until the repayment is complete, the assumed debt is leverage the deal added.
What's next
Vistra expects to fully repay all term loans and revolving loans under the two credit agreements on or about Nov. 5. That would leave the cash paid and the new shares as the deal's remaining costs, which narrows the leverage concern.
The seller agreed not to transfer the shares through Jan. 30, 2027. Vistra's required shelf registration covers their resale.
