Cencora (NYSE: COR) agrees to buy AON in $2.4 billion deal and lifts outlook

What happened

Cencora, Inc. (NYSE: COR) said it signed a definitive agreement to buy American Oncology Network, Inc. (OTCQX: AONC) on October 21, 2026. Cencora said it already holds approximately 4% of the equity interests in AON and will acquire the rest. The transaction values AON at $2.4 billion, made up of $2.3 billion at closing and up to $100 million in CVRs.

If certain AON stockholders roll over as much as 25% of their equity, Cencora expects to pay about $1.7 billion for a 75% stake. Why it matters

OptimistFi's case is that Cencora can keep turning scale in drug distribution and specialty services into more gross profit and cash. The AON deal adds a physician-led oncology network with more than 350 providers across 21 states and expands Cencora's MSO platform. Cencora says the deal builds on Cencora's MSO platform by adding complementary capabilities and expanding presence across twelve additional states.

The filing says the update reflects the strength of the U.S. Healthcare Solutions reportable segment. Cencora also lifted fiscal 2026 adjusted diluted EPS guidance to at least $17.90, the high end of its prior $17.75 to $17.95 range. OptimistFi's calculation puts the expected $1.7 billion cash outlay at about 70.8% of the $2.4 billion enterprise value if the rollover happens.

Cencora says it is ranked #10 on the Fortune 500 and #16 on the Global Fortune 500 with more than $300 billion in annual revenue. Clinical decisions will continue to rest with AON's physicians. The deal still needs regulatory clearances and AON stockholder approvals, and Cencora says the acquisition is expected to be accretive only in the second year post-closing.

What's next

The transaction still depends on customary closing conditions, including required regulatory clearances and AON stockholder approvals. Cencora will discuss fiscal 2027 expectations on its fiscal fourth quarter 2026 earnings call on November 4, 2026. A clean close and a second-year accretion outcome would strengthen the case, while delays or lost approvals would weaken it.
