What happened
Cardinal Infrastructure Group, Inc. (NASDAQ: CDNL) said on October 19, 2026, that it amended its Hughes Brothers acquisition agreement. The purchase price stays at $357.5 million. The upfront mix now calls for 60% cash and 40% Cardinal Class A common stock, versus 50% each before.
Hughes Brothers' owners will receive about $214.5 million in cash and 5,255,420 shares, based on an issue price of $27.21 per share. The amendment also lifts the earnout to as much as $162.5 million. That earnout will be paid 60% in cash and 40% in stock, with up to about 2,388,827 more shares at the same issue price.
Cardinal says it will fund the cash portion with cash on hand and borrowings under its existing credit facility. The company still expects the deal to close in the fourth quarter of 2026, subject to regulatory approvals and customary closing conditions.

Why it matters
OptimistFi's case is that Cardinal can create value if its scale and execution in heavy civil construction help it win work without giving up bid discipline, cash conversion, or balance-sheet flexibility. The amended terms support that view by keeping the price fixed while shifting more of the upfront payment to cash.
The change is measurable. Compared with the earlier 50/50 split, the amended deal adds 10 percentage points of cash to the upfront consideration. Cardinal also says the acquisition is expected to be immediately accretive to adjusted EBITDA per share. The filing says Hughes Brothers had a 25% adjusted EBITDA margin on revenue of $220 million for the twelve months ended June 30, 2026, with backlog of about $350 million.
That case still depends on execution. The filing says the expected benefits may not happen, integration may take longer, and integration may cost more than expected.

What's next
The closing is still expected in the fourth quarter of 2026. After that, the earnout will depend on Hughes Brothers adjusted EBITDA for the twelve months ending June 30, 2027. If performance is strong enough, sellers can receive up to $162.5 million more. A timely close would put the amended terms in place, while a delay or failed close would weaken the case.
