AerCap (NYSE: AER) issues $1.5 billion in senior notes at two maturities

What happened

AerCap Holdings N.V. (NYSE: AER) said on October 7, 2026, that its wholly-owned subsidiary issued senior notes. AerCap Funding Designated Activity Company sold $750 million of 5.500% Senior Notes due 2030 and $750 million of 5.875% Senior Notes due 2033.

The filing says the 2030 notes produced $747.44 million of gross proceeds and the 2033 notes produced $744.58 million. It also says the notes are senior unsecured obligations.

Why it matters

OptimistFi's case is that AerCap works if its unmatched aircraft-leasing scale lets it keep earning attractive spreads on scarce aircraft while compounding book value and EPS without taking cycle-ending balance-sheet risk. This financing tests that view because it adds two $750 million tranches, one due in 2030 and one due in 2033.

The longer 2033 notes carry a 0.375 percentage point higher coupon than the 2030 notes. That is the filing's price for extending the borrowing term, and it leaves the later maturity clearly more expensive.

The 2030 tranche brought in $747.44 million, and the 2033 tranche brought in $744.58 million. Both came in below the $750 million principal amount, keeping the cash figure close to face value.

The caveat is that fixed coupons create known funding costs from day one. That matters for a business whose case depends on balance-sheet discipline as much as aircraft earnings. The financing is a clear funding event, not an operating lift.

What's next

The next dated milestones in the filing are the 2030 and 2033 maturities. Those dates will show whether AerCap can carry the debt through a full cycle while still supporting the spread and book-value story behind the stock. Investors will compare those dates with the balance-sheet discipline claim that underpins the case.

A stronger case would come from AerCap reaching those maturities with the notes absorbed comfortably by aircraft returns. A weaker case would show the added borrowing leaving less room for that discipline.
