Nukkleus Shareholders Approve Directors, Auditor and 2026 Equity Incentive Plan

Nukkleus (NASDAQ:DFNS) held its annual stockholder meeting on Aug. 5, 2026, with Menachem “Manny” Shalom, chief executive officer of T3 Defense Inc., presiding as chairman and secretary of the meeting.

Shalom said the company’s board had set July 9, 2026, as the record date for the meeting. As of that date, 126,311,902 shares of common stock were outstanding and entitled to vote. The company said preliminary voting tallies indicated that a quorum was present.

Stockholders considered three proposals during the meeting:

  • The election of four director nominees to the board of directors;
  • The ratification of Somech Chaikin, a member firm of KPMG International, as the company’s independent external auditor for the fiscal year ending Dec. 31, 2026; and
  • The adoption of the 2026 Evergreen Equity Incentive Plan.

The proposed equity incentive plan will initially reserve 176,000 shares of common stock and is designed to increase by 8% annually, according to Shalom.

Preliminary Results Show Approval of All Proposals

Following the close of polls, Shalom said the inspector of election reported that all three proposals had received the required support based on preliminary vote reports.

Each of the four director nominees received affirmative votes from a plurality of the shares voted and was approved for election to the board, Shalom said. The proposal to ratify Somech Chaikin as auditor also received more votes in favor than against it.

In addition, stockholders approved the 2026 Evergreen Equity Incentive Plan, with the preliminary results showing more votes cast in favor of the proposal than in opposition.

The company plans to disclose the final voting results in a Form 8-K filing within four business days, Shalom said.

Meeting Adjourned Without Stockholder Questions

The formal annual meeting was adjourned after the voting matters were completed. The company then opened the session for stockholder questions and comments submitted through the meeting’s web portal, but Shalom said there were no questions.
